Terms of Service

1. Definitions
In these Terms of Service ("Terms"), the following definitions apply:
- "Guardian Pro" or "the Service" means the Guardian Pro SaaS platform operated at app.guardianpro.cloud, including all features, APIs, documentation, and associated services.
- "We", "us", "our" means TechED Venture Limited, a company registered in England and Wales under number 15830821.
- "You", "your" means the individual or organisation accessing or using Guardian Pro.
- "Customer" means the organisation that subscribes to Guardian Pro and is responsible for all users within its account.
- "User" means any individual authorised by the Customer to access Guardian Pro.
- "Customer Data" means any data submitted to, processed by, or generated by Guardian Pro on behalf of the Customer, including AWS resource configurations, security findings, cost data, and compliance reports.
- "Subscription" means the selected pricing tier (Starter, Business, or Enterprise) that determines feature access, usage limits, and pricing.
- "AWS Account" means an Amazon Web Services account connected to Guardian Pro via cross-account IAM roles.
2. Account Terms
2.1 Registration
To use Guardian Pro, you must create an account by providing accurate and complete registration information. You may register directly or through AWS Marketplace. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.2 Organisation and User Management
The Customer is responsible for managing Users within their organisation, including granting and revoking access, assigning permissions, and ensuring Users comply with these Terms. User permissions are granular and configurable per module (security, cost, compliance, accounts, users, organisation).
2.3 AWS Account Connection
To use Guardian Pro's scanning, remediation, and governance features, you must deploy cross-account IAM roles in your AWS accounts that grant Guardian Pro read access (for discovery and scanning) and optionally write access (for remediation). You are responsible for ensuring that you have authorisation to connect your AWS accounts and that the IAM roles are configured in accordance with our documentation.
2.4 Account Security
You must notify us immediately of any unauthorised access to or use of your account. We implement security measures including rate limiting (5 failed login attempts trigger a 15-minute lockout), JWT-based authentication, and audit logging of all authentication events.
3. Acceptable Use
You agree not to:
- Use Guardian Pro to violate any applicable law or regulation.
- Attempt to access data belonging to other customers or circumvent tenant isolation controls.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Guardian Pro.
- Use Guardian Pro to conduct security testing, penetration testing, or vulnerability scanning of AWS infrastructure you do not own or have explicit authorisation to test.
- Resell, sublicense, or make Guardian Pro available to third parties without our prior written consent.
- Exceed the usage limits of your subscription tier, including account limits, scan frequency, and AI token budgets.
- Use the AI assistant to generate content that is harmful, misleading, or violates any applicable law.
- Attempt to inject malicious prompts into the AI assistant or exploit its action system to perform unauthorised operations.
We reserve the right to suspend or terminate your account if we reasonably determine that you have violated these acceptable use terms.
4. Service Level and Availability
4.1 Availability
We target 99.9% monthly uptime for Guardian Pro. Uptime is measured as the percentage of time the Service is available for use, excluding scheduled maintenance and events outside our reasonable control.
4.2 Scheduled Maintenance
We will provide at least 24 hours' notice for planned maintenance that may affect service availability. Maintenance windows are scheduled during low-usage periods where possible.
4.3 Support
Support is provided via email at info@guardianpro.cloud. Response times vary by subscription tier. Enterprise customers receive priority support with faster response times.
5. Data Protection
5.1 Data Ownership
You retain all rights, title, and interest in your Customer Data. We do not claim ownership of any data you submit to or generate through Guardian Pro.
5.2 Data Processing
We process your Customer Data solely for the purpose of providing the Guardian Pro service. Our data processing practices are described in our Privacy Policy. Where we process personal data on your behalf, we act as a data processor under the UK GDPR.
5.3 Tenant Isolation
Guardian Pro implements multi-tenant data isolation at the database partition key level. Every DynamoDB operation is scoped to your organisation and account identifiers, ensuring that your data is physically isolated from other customers' data.
5.4 Data Deletion
Upon termination of your subscription, we will retain your data for 30 days to allow for reactivation. After this period, all Customer Data is permanently deleted from our systems. You may request earlier deletion by contacting us.
6. Intellectual Property
6.1 Our Intellectual Property
Guardian Pro, including its source code, architecture, security check logic, remediation strategies, CloudFormation builders, AI prompts, design, documentation, and branding, is the intellectual property of TechED Venture Limited and is protected by copyright, trade secret, and other intellectual property laws.
6.2 Generated Templates
CloudFormation templates generated by the Infrastructure Wizard are provided for your use. You may use, modify, and deploy these templates in your AWS environments without restriction. We do not claim ownership of templates generated specifically for your infrastructure.
6.3 Feedback
If you provide suggestions, feature requests, or other feedback about Guardian Pro, we may use this feedback to improve the Service without obligation to you.
7. Subscription and Billing
7.1 Subscription Tiers
Guardian Pro is available in three tiers: Starter, Business, and Enterprise. Each tier has specific feature access, usage limits (number of AWS accounts, scan frequency, AI token budgets), and pricing as described on our pricing page.
7.2 Billing
Billing is processed through AWS Marketplace. Charges appear on your AWS bill. For customers with AWS Enterprise Agreements, Guardian Pro charges may count towards committed spend. Payment terms are governed by your agreement with AWS.
7.3 Upgrades and Downgrades
You may upgrade your subscription tier at any time. The new tier takes effect immediately. Downgrades take effect at the end of the current billing period. If a downgrade would exceed the lower tier's usage limits, you must reduce your usage before the downgrade takes effect.
8. Remediation and Rollback Disclaimer
Guardian Pro provides automated remediation capabilities that make changes to your AWS infrastructure. Before executing any remediation:
- A preview of the proposed changes is displayed, including the steps that will be taken and a risk assessment.
- A pre-remediation snapshot of the affected resource is captured to enable rollback.
- The remediation requires explicit confirmation from an authorised User.
While we implement safeguards including cascade dependency analysis, resource locking, and CloudFormation awareness, you acknowledge that:
- Automated changes to production infrastructure carry inherent risk.
- You are responsible for reviewing remediation previews before confirming execution.
- Rollback may not be possible in all circumstances (e.g., if the resource has been modified externally since remediation).
- We recommend testing remediations in non-production environments first where possible.
9. Limitation of Liability
9.1 Exclusion of Certain Damages
To the maximum extent permitted by applicable law, TechED Venture Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill, arising out of or in connection with your use of Guardian Pro, whether based on warranty, contract, tort, negligence, strict liability, or any other legal theory.
9.2 Liability Cap
Our total aggregate liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
9.3 Exceptions
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
10. Indemnification
You agree to indemnify and hold harmless TechED Venture Limited, its officers, directors, and employees from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your use of Guardian Pro in violation of applicable law; (c) your connection of AWS accounts to which you do not have authorisation; or (d) any third-party claim arising from your use of remediation features on production infrastructure.
11. Termination
11.1 Termination by You
You may cancel your subscription at any time through the Guardian Pro settings or by contacting us. Cancellation takes effect at the end of the current billing period. You will continue to have access to the Service until the end of the period you have paid for.
11.2 Termination by Us
We may suspend or terminate your account if: (a) you breach these Terms and fail to remedy the breach within 14 days of notice; (b) you engage in activity that poses a security risk to the Service or other customers; (c) you fail to pay applicable fees; or (d) we are required to do so by law.
11.3 Effect of Termination
Upon termination, your access to Guardian Pro is revoked. We will retain your data for 30 days to allow for reactivation, after which it will be permanently deleted. Sections of these Terms that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will survive.
12. Warranty Disclaimer
Guardian Pro is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the security checks will identify all vulnerabilities in your AWS infrastructure; (c) automated remediations will resolve all identified issues without side effects; or (d) the AI assistant will provide accurate or complete responses in all circumstances.
13. Modifications to Terms
We may modify these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by posting a notice on our website or sending you an email. Your continued use of Guardian Pro after the changes take effect constitutes acceptance of the modified Terms. If you do not agree with the changes, you may cancel your subscription before they take effect.
14. General Provisions
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14.2 Entire Agreement
These Terms, together with our Privacy Policy and any subscription-specific terms, constitute the entire agreement between you and TechED Venture Limited regarding Guardian Pro.
14.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
14.4 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
14.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
